The pair will get it on at the Boardwalk Hall in Atlantic City, where the man known as 'The Ghost' first won the titles with a surprise stoppage of Jermain Taylor in 2007.
However, Pavlik's career has stuttered in the intervening two years after confirming his authority over Taylor in a rematch, suffering a desperate points defeat to veteran Bernard Hopkins at a catchweight in between routine title defences against inferior opponents.
But a fight against the dangerous Williams is just what Pavlik needs to get his career moving again.
The former welterweight champion has similar record (37-1 to 35-1) with a total of 27 stoppages, and is one of the most avoided fighters of the last few years.
The 28-year-old was forced to leave the 147lb division behind last year after regaining the WBO welterweight he had lost to Carlos Quintana, gaining revenge with a first round knockout.
Williams' convincing points victory over an ageing Winky Wright in April put him line for a title fight and his camp signed with Pavlik's men on Tuesday night with a formal announcement expected in a week's time.
